Bring the NDAs you already have
Upload signed PDF or Word files. On paid plans the AI reads them and fills in the parties, governing law and expiry.
Reminders that reach the owner
Alerts 60, 30 and 7 days before an NDA ends, plus nudges to signers who have not signed yet.
Shared with the whole team
Sales, HR and legal work in one workspace with roles, so every NDA has a named owner.
Their paper, read for you before you sign it
Upload the NDA a partner sent you. The AI marks clauses that go beyond normal confidentiality, explains each one in plain English and suggests fallback wording you can send back.

High Clause 6.1
Confidentiality never ends
All information stays confidential "indefinitely", not only trade secrets.
Suggested fallback. Obligations continue for three (3) years after disclosure, and for trade secrets for as long as they remain trade secrets.
-
High Clause 9.2
A non-compete inside the NDA
You may not "engage in any similar business" for 24 months. That is a non-compete, not confidentiality.
Suggested fallback. Delete 9.2. Keep a narrow non-solicit of employees met through the Purpose, 12 months.
-
Medium Clause 12
Venue far from both parties
Exclusive courts in a state where neither company operates.
Suggested fallback. Courts of the defendant's home state, or Delaware.
-
Low Clause 4
No compelled disclosure carve-out
You could breach the NDA by answering a subpoena.
Suggested fallback. Disclosure required by law is allowed after prompt notice, limited to what is required.
-
One-sided obligations. Duties that bind only you in what is called a mutual NDA.
-
Hidden restrictions. Non-competes, IP assignment or exclusivity tucked into a confidentiality clause.
-
Missing protections. Standard exclusions, compelled disclosure and return or destroy rules.
-
Key terms extracted. Parties, term, survival period, governing law and expiry date filled into your register.
Included on paid plans: 10, 60 or 300 analyses a month. NonDisclosures is a software tool, not a law firm. Templates and AI analysis are not legal advice.
How the AI NDA review worksThe NDA goes out when the deal stage changes
Connect your CRM or applicant tracking system once. A stage change creates the NDA from your approved template and sends it. When it is signed, the signed PDF goes back to the record and your data room opens.

Built for NDAs, priced for the teams that send them
Most companies handle NDAs with a template folder and an e-sign subscription, or inside a contract platform built for every agreement type. Here is how the three compare.
| NonDisclosures | Templates plus an e-sign tool | Enterprise contract platform | |
|---|---|---|---|
| Time to the first sent NDA | Minutes, self-serve | Minutes, if the template is current | Weeks of implementation |
| NDA types ready to use | Mutual, one-way, employee, contractor, investor, M&A | Whatever is in the folder | Built by your legal team |
| E-signature with audit trail | Included | Separate subscription | Included |
| Register with expiry alerts | Included | A spreadsheet | Included |
| AI review of counterparty NDAs | Included in every plan | No | Often an add-on |
| CRM and ATS triggers | HubSpot, Salesforce, Greenhouse, Lever, Workable | Manual | Custom setup |
| Pricing | Flat per workspace, from $24 a month yearly | Per user, per tool | Annual contract through sales |

Answers before you send your first NDA
What is an NDA?
A non-disclosure agreement (NDA) is a contract in which one or both parties promise to keep shared information confidential and to use it only for an agreed purpose. A mutual NDA protects both sides; a one-way NDA protects only the party that discloses.
Are NDAs signed online legally binding?
In the United States, electronic signatures are generally valid for NDAs under the federal ESIGN Act and the Uniform Electronic Transactions Act adopted by most states. NonDisclosures records each signer's email, IP address, timestamps and a SHA-256 hash of the document in a certificate attached to the signed PDF.
Do I need a lawyer to use these templates?
NonDisclosures is a software tool, not a law firm, and nothing it produces is legal advice. The templates follow common US practice and suit many routine situations. For unusual deals, regulated data or a dispute, have a licensed attorney in your state review the agreement.
What is the difference between a mutual and a one-way NDA?
A mutual NDA puts the same confidentiality obligations on both parties, which suits partnerships, vendor evaluations and deal talks where both sides share. A one-way NDA binds only the receiving party, which suits hiring, contractors, investor pitches and bidders in an M&A process.
How long should an NDA last?
Most business NDAs run for one to three years and keep confidentiality obligations alive for two to five years after that. Trade secrets are usually protected for as long as they stay secret. NonDisclosures calculates both dates and reminds you 60, 30 and 7 days before the term ends.
Can the other party sign without creating an account?
Yes. Each signer gets a personal link by email, reads the full NDA in the browser and signs by typing or drawing. No account, no app and no download are needed on their side.
What does the AI review check?
On paid plans, the AI reads an NDA you received and flags clauses that deserve a second look: one-sided obligations, confidentiality with no end date, missing standard exclusions, a non-compete or IP assignment hidden inside the NDA, or an unusual venue. Each flag comes with a plain-language explanation and suggested fallback wording.
Can I try it before paying?
Yes. The builder at the top of this page generates a real NDA preview without an account. After you confirm your email you can download it once as a watermarked PDF. Sending for signature, the register, reminders and AI review are part of the paid plans.
How does pricing work?
One flat price per workspace, not per seat. Starter is 49 USD a month, Business 149 USD and Company 499 USD, and yearly billing costs exactly half. Each plan includes a monthly number of NDAs sent for signature and AI analyses, shown in your dashboard.
Can I cancel at any time?
Yes, in the billing page of your workspace. Your plan stays active until the end of the period you paid for. Payments are final, with the exceptions described in the refund policy.
